NERC makes sweeping changes at Kaduna electricity company — here’s why

The Nigerian Electricity Regulatory Commission, NERC, has dissolved the Board of Kaduna Electricity Distribution Company, KAEDC.

The regulatory body announced the decision in an order dated August 10, 2026, signed by its Chairman, Musliu Oseni, and Commissioner for Legal, Licensing and Compliance, Dafe Akpeneye.

NERC subsequently constituted a seven-member interim special board comprising Dr. Abdullahi Garba, Engr. Francis U. Agoha, Mr. Aliyu E. Aliyu, Major General Henry E. Ayamasaowei (rtd.), Dr. Haliru Dikko, Mr. Ayodeji A. Gbeleyi, representing the Bureau of Public Enterprises, and Dr. Abubakar Umar Hashidu.

The commission also announced that the current Managing Director and Chief Executive Officer, Dr. Abubakar Umar Hashidu, would serve as Administrator for an initial six-month period, subject to review by the regulator.

According to NERC, the dissolution became necessary because of the company’s severe condition, which includes prolonged regulatory and market defaults, inadequate investment, poor operational and commercial performance, insufficient assets compared with its liabilities, and the absence of a credible plan for sustainable recovery.

“KAEDC’s board of directors is HEREBY DISSOLVED. All directors of KAEDC are removed from office, and the existing board stands dissolved pursuant to Section 75 of the EA.

“The Commission has notified the Corporate Affairs Commission (“CAC”) and other relevant stakeholders of the dissolution of the board. The CAC shall not register or give effect to any change in the company’s shareholding, directorship or constitutional records during the special transition period without the Commission’s prior written approval,” NERC stated.
